Public Offer and Terms of Service
Last updated: September 28, 2026
This version of the Terms takes effect on the date it is published on the Site.
These Terms constitute the Service Provider's public offer to provide the Services.
Before using the Site and purchasing the Services, the Customer must read these Terms. Paying for the Services, as well as registering on the Site or booking an introductory lesson after reading these Terms, constitutes the Customer's acceptance of this offer and the conclusion of an agreement on the terms set out in these Terms.
Acceptance of this offer means registering on the Site, booking an introductory lesson, placing an order, or paying for the Services. From the moment of acceptance, a service agreement is deemed concluded between the Customer and the Service Provider on the terms of this offer.
If the Customer does not agree with these Terms, they must not register on the Site, book an introductory lesson, or order the Services.
1. Terms and Definitions
In these Terms, the following terms have the meanings set out below:
- Service Provider — sole proprietor (FOP) Viktor Fesenko, who provides Customers with individual online speech development lessons in accordance with these Terms.
- Customer — an adult individual who orders the Services for themselves or for another Service Recipient and accepts these Terms.
- Site — the Ritorika website, through which the Services are presented and through which registration, lesson booking, payment and other actions related to the Services are carried out.
- Services — individual online speech development lessons provided by the Service Provider to the Customer or the Service Recipient in accordance with these Terms.
- Service Recipient — the person for whom individual online lessons are conducted as part of the ordered Services.
- Lesson Package — a specified number of individual online lessons paid for by the Customer.
- Introductory Lesson — a free lesson for getting to know the Service Recipient, on the terms of section 3.
- Account — the Customer's personal account on the Site.
2. Description of Services
The Service Provider provides Customers with individual online speech development lessons.
The Services may include:
- individual online lessons;
- speech and communication development exercises;
- vocabulary development;
- development of sentence-building and self-expression skills;
- practice of clear and intelligible pronunciation;
- development of communication confidence;
- other educational and developmental activities according to the individual needs of the Service Recipient.
The content, duration, format and number of lessons are determined in accordance with the selected package and the arrangements between the Service Provider and the Customer.
The Service Provider may change, supplement or improve the format and content of the Services, provided that such changes do not violate obligations to the Customer that have already been paid for.
The Services may be provided directly by the Service Provider or by persons engaged by the Service Provider to provide the Services.
3. Introductory Lesson and Choosing a Lesson Format
Before purchasing a package, the Customer may book a free 30-minute introductory lesson. The introductory lesson is provided once for each Service Recipient (a lesson that the Service Recipient did not attend does not count), is free of charge, is not part of a paid package and does not reduce the number of lessons in it.
The introductory lesson is informational and educational in nature. Based on its results, the Service Provider may give recommendations on the format and number of lessons. The recommendations are not a medical diagnosis, a medical opinion or a prescription for treatment.
4. Educational Nature of the Services
The Service Provider's Services are educational and developmental in nature and are aimed at developing the speech and communication skills of the Service Recipient.
The Service Provider does not provide medical care, does not perform medical diagnostics and does not prescribe medical treatment.
If the Service Recipient needs medical, psychological, speech therapy or other specialized help, the Customer is responsible for promptly contacting an appropriate qualified specialist.
5. Customer and Service Recipient
The Customer may be an adult Service Recipient acting personally, or parents or a legal representative ordering the Services for a minor.
If the Services are ordered for a minor, the Customer confirms that they have the necessary legal authority to provide the Service Provider with information about that person and to give the necessary consent to the processing of that person's personal data.
Personal data is processed in accordance with the Privacy Policy posted on the Site.
The Customer is responsible for the accuracy of the information provided during the introductory lesson, registration or ordering of the Services.
6. Organization of Online Lessons
Lessons are conducted remotely using available video and audio communication tools.
To take part in a lesson, the Customer must provide the necessary conditions for the Service Recipient, including:
- a device with Internet access;
- a stable Internet connection;
- access to the necessary software or video communication service;
- suitable conditions for conducting the lesson.
The Customer enters the participant's name independently when connecting to the video communication service and is responsible for ensuring that it allows the Service Provider to identify the Service Recipient.
The Service Provider is not liable for the inability to hold a lesson or for its improper course due to problems with equipment, the Internet connection or software that is not controlled by the Service Provider.
7. Lesson Packages and Prices
The Service Provider may offer individual lessons and lesson packages.
Current prices, lesson durations and package contents are shown on the Site or communicated to the Customer before payment.
For Customers who purchase the Services in Ukraine, the price of the Services is shown in Ukrainian hryvnia (UAH). For Customers who purchase the Services outside Ukraine, the price of the Services may be shown in a foreign currency, in particular US dollars (USD), unless expressly stated otherwise when the order is placed.
The Service Provider may offer individual Customers personal discounts, special prices or other individual payment terms. In that case, the price of the Services agreed with the Customer may differ from the price published on the Site.
For payments in a foreign currency, the actual amount charged may depend on the currency of the Customer's payment card, the terms of their bank and the conversion applied by the payment service.
The price of the Services may change for new orders.
A change in price does not affect Services that have already been paid for, unless otherwise agreed with the Customer.
8. Payment
Payment for the Services is made through the WayForPay payment service or another payment service that may be available on the Site.
During payment, the Customer may be redirected to the payment service's secure page.
The Service Provider does not store the Customer's full bank card details on its own servers. Payment data is processed in accordance with the terms and policies of the payment service through which payment is made.
Payment is considered made once the relevant payment service confirms that it was successful.
Payment for the Services may be made by the Customer or by another person on behalf of the Customer or the Service Recipient. Such payment does not change the status of the Customer and the Service Recipient as defined in these Terms.
9. Booking and Rescheduling Lessons
The date and time of a lesson are agreed with the Customer according to the available schedule.
The Customer may reschedule or cancel a scheduled lesson by notifying the Service Provider in writing no later than 2 hours before the lesson starts. The notice is sent through the communication channel agreed by the parties (for example, a messenger or email). If no communication channel has been agreed, the notice is sent to support@ritorika.net. The time of notice is the time it was sent.
If a lesson is rescheduled or cancelled after this deadline, or if the Service Recipient does not attend without prior notice, the lesson is considered used and is deducted from the package.
The Service Provider may reschedule a lesson if circumstances prevent it from taking place, by notifying the Customer and offering another available time. Such a lesson is not deducted from the package. If the proposed time does not suit the Customer, the parties agree on another time.
If a lesson did not take place through the fault of the Service Provider or due to circumstances on the Service Provider's side (technical failures, power outages, other force majeure circumstances), the lesson is not considered used and is rescheduled to an agreed time.
The rules on rescheduling, cancellation and non-attendance that apply to paid lessons do not apply to the free introductory lesson. The introductory lesson is provided once for each Service Recipient. If the Service Recipient does not attend a scheduled introductory lesson, the Customer may book it again.
10. Lesson Packages
A paid package entitles the Customer to the corresponding number of lessons.
The package validity period is calculated from the date of payment, depending on the number of lessons in the package and the agreed number of lessons per week. Two months are added to this period, during which the Customer may use any unused lessons. For example, for a package of 8 lessons at 2 lessons per week, the period is 4 weeks plus 2 months. After this period ends, unused lessons expire, their cost is not refunded, and they are not carried over, unless otherwise agreed with the Service Provider.
If no lessons from a paid package have been used, the Customer may request a refund of the full price of the package under section 11 before the package expires, including the additional two months.
A lesson package purchased by the Customer is linked to their Account on the Site. A lesson package cannot be transferred to another Account or to another person.
Lessons within a package may be conducted for one or several persons added by the Customer to their Account.
11. Cancellation of Services and Refunds
The Customer may request to stop using a purchased lesson package and to receive a refund for unused lessons before the package expires, including the additional two months.
If no lessons have been held and no lessons are considered used under section 9, the Customer is refunded the full price of the package.
In the event of a refund, the calculation depends on the number of lessons held under the package. For the purposes of calculating the refund amount, the number of lessons held includes lessons that actually took place, as well as lessons that are considered used under section 9 of these Terms because of non-attendance or cancellation later than 2 hours before the lesson.
If 1 or 2 lessons have been held, each lesson held is charged at the single-lesson price (the package discount applies only if at least three lessons have been held), and the remaining funds are refunded to the Customer. The single-lesson price is the price shown on the Site or communicated to the Customer before the package was paid for, as of the date of purchase.
If 3 or more lessons have been held, the cost of the lessons held is determined proportionally to the price of the purchased package:
Cost of one lesson in the package = package price ÷ total number of lessons in the package.
Refund amount = package price − cost of lessons held.
For example, if a package of 4 lessons costs $80 and the standard single-lesson price is $25:
- after 1 lesson: $80 − $25 = $55 refundable;
- after 2 lessons: $80 − $50 = $30 refundable;
- after 3 lessons: $80 − ($80 ÷ 4 × 3) = $20 refundable;
- after 4 lessons: $0 refundable.
For a package of 8 lessons for $152:
- after 1 lesson: $152 − $25 = $127 refundable;
- after 2 lessons: $152 − $50 = $102 refundable;
- after 3 lessons: $152 − ($152 ÷ 8 × 3) = $95 refundable.
The refund amount cannot be less than zero or greater than the price of the package.
The refund amount is determined in US dollars based on the package price and the price of the Services in effect at the time of purchase. The actual amount and currency of the refund may depend on the parameters of the payment transaction and the rules of the payment service.
The payment service fee that is included in the package price and paid by the Service Provider is not deducted from the refund amount. Fees and exchange rate differences separately charged to the Customer by the payment service or their bank are not refundable.
Refunds are made by the same method used for payment, unless otherwise provided by the rules of the payment service or the requirements of Ukrainian law. Refunds are made within the time limits provided by Ukrainian law and the rules of the relevant payment service.
The Service Provider may agree with the Customer on individual terms for rescheduling lessons, the package validity period and refunds.
The provisions of this section do not limit the Customer's rights under Ukrainian consumer protection law.
12. Inquiries, Complaints and Refunds
The Customer may contact the Service Provider about the Services, the quality of their provision, termination of the agreement or refunds by sending a request to the email address: support@ritorika.net.
In the request, it is advisable to state the Customer's name, email address, a description of the issue and, if necessary, information about the relevant payment or ordered Services.
The Service Provider reviews the request and replies within a reasonable time, but no later than the deadline set by Ukrainian law for the relevant type of request.
13. Intellectual Property
Materials, texts, exercises, graphic materials, teaching materials, design and other content created or provided by the Service Provider may be protected by intellectual property law.
Payment for the Services does not transfer to the Customer any intellectual property rights in such materials.
The materials are intended solely for use within the learning process. Without the Service Provider's prior written consent, they may not be sold, publicly distributed, passed on to third parties or used for commercial purposes. Copying for personal use within the learning process is permitted.
14. Information About the Service Recipient
To provide and conduct lessons, the Service Provider may receive information about the Service Recipient that the Customer provides voluntarily.
Such information may include name, age, information about speech skills, learning goals and other details necessary to provide the Services.
The Service Provider uses such information only to the extent necessary to provide the Services and to fulfil other legal obligations.
Personal data is processed in accordance with the Privacy Policy, which forms an integral part of these Terms.
15. Confidentiality
The Service Provider takes reasonable organizational and technical measures to protect the information it receives and processes in providing the Services, including through the Site.
The Customer must not transmit through the Site or during lessons any information that they are not entitled to transmit or disclose.
16. Recording of Lessons
Lessons are not audio or video recorded by the Service Provider unless otherwise agreed with the Customer and the Service Recipient.
The Customer and the Service Recipient may not make an audio or video recording of a lesson or distribute such a recording without the prior consent of the Service Provider and the other participants of the lesson.
17. Rules of Use
The Customer agrees to:
- use the Site and the Services lawfully;
- provide accurate information;
- not use the Site for unlawful activity;
- not attempt to gain unauthorized access to accounts or systems of the Site;
- not interfere with the operation of the Site or related systems;
- not use the Site to distribute malware or other harmful content;
- respect the Service Provider and other users of the Site.
18. Limitation of Liability
The Service Provider makes reasonable efforts to ensure the proper quality and timely provision of the Services. However, the Service Provider does not guarantee uninterrupted and error-free operation of the Site, or the absence of technical failures related to the use of the Site or third-party services.
The Service Provider does not guarantee a specific learning or speech development result, because the result depends, among other things, on the individual characteristics of the Service Recipient, the regularity of lessons, their participation and other circumstances.
The Service Provider is not liable for interruptions in the Internet, third-party services, the Customer's equipment or other circumstances beyond the Service Provider's reasonable control.
Nothing in these Terms limits liability that cannot lawfully be limited under Ukrainian law.
19. Temporary Suspension of Services
The Service Provider may temporarily suspend the provision of the Services, and the operation of the Site may be temporarily restricted or suspended, in the event of:
- maintenance work;
- technical problems;
- the need to ensure the security of the Site;
- violation of these Terms;
- other circumstances that may affect the security or proper functioning of the Services.
Where possible, the Service Provider notifies the Customer of material changes to or suspension of the Services.
20. Changes to the Services and the Terms
The functionality and other characteristics of the Site may change from time to time. The Service Provider may also change lesson formats, packages and other characteristics of the Services.
The Service Provider may update these Terms from time to time.
Material changes may be communicated by updating the “Last updated” date and, where necessary, by other available means.
Continued use of the Site after the updated Terms take effect means acceptance of the changes to the extent permitted by law.
21. Governing Law
These Terms are governed by the laws of Ukraine.
The mandatory provisions of Ukrainian consumer protection law and other legal provisions governing the relevant relations apply to the relationship between the Service Provider and the Customer.
Disputes are resolved through negotiations and, if no agreement can be reached, in accordance with Ukrainian law.
22. Restrictions on the Provision of Services
The Services are not provided if the Customer or the Service Recipient resides in or is located in the territory of the Russian Federation or the Republic of Belarus. The Customer confirms that neither they nor the Service Recipient reside in or are located in these territories. If the opposite is established, the Service Provider has the right to refuse to provide the Services or to stop providing them; a refund for unused lessons is made in accordance with section 11.
23. Force Majeure
The parties are released from liability for non-performance or improper performance of obligations if such non-performance results from force majeure circumstances beyond the parties' reasonable control, including war, hostilities, accidents, power outages, communication disruptions, cyberattacks, decisions of public authorities or natural disasters.
